Softphone.Pro License Agreement

The license applies to all Softphone.Pro versions.

This is a legal agreement between you (either an individual or an entity) and Vedisoft Ltd. ("Vedisoft") for the Softphone.Pro software product (the "Software").

SOFTWARE PRODUCT LICENCE

This License Agreement does not constitute a sale and does not authorize a sale of the Software or anything created thereby.

GRANT OF LICENSE

The Software is "in use" on a computer/digital device when it is loaded into the temporary memory or installed into a permanent memory (e.g. hard disk or other storage device) of that computer/device.

EVALUATION LICENSE

This License Agreement permits you to use one copy of the accompanying software, which may include electronic documentation, on a single computer/digital device, for a limited period of time. "Limited time period" starts with the sofware installation and ends on the sofware evaluation expiration date (as indicated on software About dialog). When the limited time period is complete, you must either discontinue your use of the Software or acquire a non-evaluation license for the Software.

NON-EVALUATION LICENSE

If you have acquired from Vedisoft, its suppliers or licensors a license for the Software, this License Agreement permits you to use one copy of the accompanying software, which may include electronic documentation, on a single computer/digital device. You may also store or install a copy of the Software on a storage device (e.g. network server), used only to use the Software on your other computers over an internal network; however, you must acquire and dedicate a licence for each separate computer on which the Software is in use from the storage device. A licence for the Software may be shared and used concurrently on different computers. If you have acquired a "multiple-user" license, you may use additional number of copies of the Software, up to and not exceeding the number of copies specified in the license invoice.

COPYRIGHT

All intellectual property rights in the Software are owned by Vedisoft and its suppliers and licensors, and are protected by the Russia laws and international treaty provisions. Vedisoft and its suppliers and licensors retain all rights not expressly granted herein. You must treat the Software like any other copyrighted material, except that you may make one copy of the Software solely for backup or archival purposes.

RIGHTS AND LIMITATIONS

You may transfer your rights under this Agreement on a permanent basis provided you transfer the license granted by this Agreement, and the Software and all associated printed materials, and you retain no copies, and the recipient agrees to all of the terms of this Agreement. You may not use the Software on or over a network or any other transfer device (including the Internet). You may not rent or lease the Software. You may not translate, reverse engineer, decompile or disassemble the Software, except and only to the extent that such activity is expressly permitted by applicable law regardless the limitation.

TERMINATION

In the event you fail to comply with any of the terms or conditions of this license, your rights to use the Software will end, you shall stop using the Software, remove the Software from your computer and permanently erase all copies of the Software. You may terminate this License at any time by destroying the Software and all copies thereof.

EXPORT

You may not export or reexport the Software or any underlying information or technology except in full compliance with all Russia and other applicable laws and regulations.

SOFTWARE UPDATES

Vedisoft may, from time to time, revise or update the Software. In so doing, Vedisoft incurs no obligation to furnish such revision or updates to you.

WARRANTY

To the maximum extent permitted by the law, Vedisoft disclaims any warranty for the Software. The Software and any related documentation are provided "AS IS" without warranty of any kind, either express or implied, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, title and noninfringement.

LIMITATION OF LIABILITY

In no event Vedisoft or its suppliers and licensors shall be liable for any indirect, special, incidental or punitive damages arising out of use or inability to use the Software. Vedisoft's and its suppliers' and licensors' maxmimum liability and your exclusive remedy under the current agreement shall not exceed five dollars (US$5.00).

MISCELLANEOUS

No change or modification of the License will be valid unless it is in writing and is signed by Vedisoft. The provisions of this agreement are severable; if any provision is held to be invalid or unenforceable, it shall not affect the validity or enforceability of any other provision.
